Terms of Use for the choruslife.com website

Introduction

Chorus Life S.p.A., with registered office in Viale Vittorio Emanuele II, 10/M, 24121 – Bergamo, Company Registration No. – Tax Code and VAT No. 02162710160, REA No. 267795 (“Chorus Life”) is the owner of the website choruslife.com, including the related third-level domains (such as, by way of example, those dedicated to the “GNAM”, “Arena” and “L’Angolo Con Vista” services) (collectively, the “Website”).

These terms and conditions of use of the Website (the “Terms of Use”) govern the provision of services offered to users via the Website (the “Services”), both free of charge and for a fee.

To use certain Services offered via the Website, users must first create an account. Specifically, the Website provides registered users with a members’ area through which they can view and amend their personal details, manage the consents they have given, select topics of interest relating to the Chorus Life district of Bergamo, and access other Services. During the registration process, the user chooses the login details they intend to use to access the members’ area. These must be truthful, accurate and complete, and must be kept with the utmost care and attention. They may only be used by the user and must not be disclosed to third parties. The user undertakes to keep them confidential and to ensure that no third party has access to them; the user also undertakes to inform Chorus Life immediately should they suspect or become aware of any unauthorised use or disclosure of such credentials. Alternatively, the user may access the members’ area via one of the social login systems provided by Chorus Life.

Depending on how the user uses the Website, different terms will apply. Section A of the Terms of Use applies to all users, including those who have not created an account (who may use certain services, such as a form designed for people with disabilities or those who have suffered an accident to request tickets or information for events at the ChorusLife Arena, the contact request function for the “Oltre le stelle” childcare service, etc.). Section B applies only to registered users. By registering on the Website, users can access, amongst other things, the service known as the “Configurator”, manage their personal details, consents and areas of interest, use the reservation service for the “L’Angolo Con Vista” restaurant and the “L’Angolino Bistrot & Lounge Bar” restaurant, as described in more detail in Section B below and make use of any additional Services made available from time to time by Chorus Life. The account created by the user is unique and allows access to all Services available on the Website. In the case of bookings or purchases of specific Services, specific terms and conditions available on the Website will also apply, and these will in any event be indicated before the booking or purchase is finalised.

SECTION A – TERMS FOR ALL USERS

Information about the user and their privacy

Information on how Chorus Life uses the data it collects about the user is available in the Website’s Privacy Policy.

These do not form part of these Terms of Use, but are important documents which the user is required to read.

Intellectual Property

The Website and the Services are licensed to the user by Chorus Life, which is the exclusive owner and/or legitimate user of all intellectual property rights relating to the Website and the Services, as well as all intellectual property rights relating to source and object codes, methods, algorithms, know-how, documentation, and any updates and modifications to the Website and the Services, including adaptations, translations, transformations and any other improvements and/or modifications, as well as any preparatory material and/or information, data and materials of any other nature relating to the Website and the Services. The user does not hold any rights to exploit such content, except for those rights expressly licensed by Chorus Life.

Chorus Life is the exclusive owner and/or legitimate user of the ‘Chorus Life’ trademarks, as well as the corresponding trade names, business names and domain names, such as ChorusLife.it, ChorusLife.app, ChorusLife.eu and Chorus.life, and any other distinctive signs displayed in connection with the provision of the Services, which the user undertakes not to use in any way, unless expressly authorised in writing by Chorus Life.

By way of example and without limitation, the user shall not: create derivative works of, modify, adapt, rework and/or alter the Website, the Services and/or the documentation received; carry out reverse engineering, decompile, decrypt, disassemble or otherwise attempt to obtain the source code and/or object code of the Website; make the Services available to third parties in any manner and/or form, or lease and/or assign and/or transfer the Services to third parties in any manner and/or form, unless expressly authorised in writing by the rights holder; remove, modify, conceal and/or otherwise alter any element and/or information identifying the Services and the Website; remove, modify, conceal and/or otherwise alter the distinctive marks of Chorus Life, as well as any other information serving to identify Chorus Life as the rights holder for the exploitation and distribution of the Services, the Website and the documentation received.

Links to other websites

The Website may contain hyperlinks (so-called ‘links’) to other websites that have no connection with the Website or, in any event, with Chorus Life. Chorus Life cannot be held liable for the content of these websites or the policies they adopt, including with regard to the processing of users’ personal data whilst browsing. Chorus Life, therefore, offers no guarantee and/or makes no representation and/or accepts no liability in relation to such links and/or third-party websites and/or in relation to their content and/or any damage arising from their use. The user is solely and exclusively responsible for accessing other websites via links on the Website.

Who can use the Website?

The Website is restricted to users aged 16 and over. By accessing the Website and, where applicable, at the start of the registration process, the user confirms that they are at least 16 years old. If the user is under 16, they must not use the Website.

SECTION B – TERMS FOR REGISTERED USERS

Certain Services, in particular those involving purchases and bookings, are available only to users aged 18 or over.

Chorus Life may restrict access to (or deny access to) the Website if it identifies a serious issue, for example if it reasonably suspects fraudulent activity or a security risk.

Configurator

Among the Services available on the Website, accessible exclusively upon registration and login to the members’ area, is the “Configurator”. This is a digital tool for exploring the different types of flats in Chorus Life properties available for rent, configuring flats according to the user’s needs, and booking an appointment at Chorus Life’s offices to view the flats in person and sign the relevant tenancy agreements. Each user may not configure more than one flat at a time.

Configuring an apartment via the Website and/or booking an appointment at Chorus Life does not confer any rights on the user in relation to that apartment and/or any other apartments. In fact, other users or third parties may configure (or may already have configured) the flat and book (or may already have booked) an appointment, as well as sign a tenancy agreement. In such cases, the flat may become unavailable at any time.

The Configurator is a section of the Website provided for information purposes only. It is therefore understood that all aspects relating to the pre-contractual and contractual stages of tenancy agreements for the flats will be managed outside the Configurator and, more generally, outside the Website.

Reservation at the restaurants “L’Angolo Con Vista” and “L’Angolino Bistrot & Lounge Bar”

The Website allows registered users, once they have logged into the members’ area, to make reservations at the restaurant “L’Angolo Con Vista” and the restaurant “L’Angolino Bistrot & Lounge Bar”. For reservations at the restaurant “L’Angolo Con Vista” for groups of more than five people, a credit card must be provided to guarantee the booking. The specific terms and conditions applicable to restaurant reservations are available on the respective reservation pages.

Rules for using the Website

Prohibited Uses

The user must not use the Website for any of the following purposes or carry out any of the following actions:

  • if the user does not have the capacity to enter into a legally binding contract;
  • using the Website in a fraudulent, unreasonable, false, misleading or deceptive manner;
  • any act or omission contrary to applicable laws;
  • any act that infringes the rights of others (such as intellectual property rights, privacy and/or personal rights);
  • circumvent any technical measures (for example, anti-virus measures) implemented in the provision of the Website;
  • undermining or interfering with the purposes of Chorus Life and/or otherwise compromising the secure, predictable and reliable nature of the Chorus Life website.

Paid Services

Some of the Website’s Services are subject to a charge (the “Paid Services”) and may be provided directly by Chorus Life or by third parties (including other group companies) specified during the purchase or booking process.

Paid Services are governed not only by these Terms of Use but also by specific terms and conditions relating to the various services to which they apply. These are available at the end of these Terms of Use.

Certain pages of the Website redirect users to third-party websites for the purchase of goods and services, including via links. The goods and services offered by third parties (for example, the purchase and use of tickets for shows at the Arena, and the purchase of gift cards) are governed exclusively by the terms and conditions made available from time to time by those third parties.

All Paid Services must be paid using a valid payment method accepted on the Website.

Any payment processing service available on the Website is provided by a third-party payment service provider, and any purchase may be subject to the terms and conditions of that third-party payment service provider. Chorus Life does not provide any payment processing services on the Website.

The payment methods currently available are credit card, PayPal, Apple Pay and Google Pay.

By clicking on ‘Pay now’ (or a button with similar wording indicating the obligation to pay), the user places an order for a Paid Service.

If the order is successful, the contract is deemed to have been concluded when the user receives a confirmation email from Chorus Life containing the relevant details.

Depending on the type of Paid Services, the user may be entitled to a right of withdrawal within 14 days of the date of purchase. In such cases, the specific terms and conditions of the service in question will set out the relevant procedures. In any event, this right does not apply to bookings or purchases of Services for a specific date or period of performance.

Third-party links and content

In some cases, Chorus Life provides third-party content or links to third-party websites. Chorus Life has no control over, and accepts no responsibility for, the availability, content, privacy policies or business practices of third-party websites. Chorus Life accepts no liability for the actions or omissions of such third parties.

Any interaction the user may have with a third party following the use of a service offered by a third party will take place between the user and the third party. Chorus Life is not responsible for any transactions with third parties or for the provision of the user’s personal data to third parties.

The user’s declarations

By accepting these Terms of Use, the user represents to Chorus Life that:

  • all information provided by the user is accurate, complete and will be kept up to date;
  • the user undertakes to keep his/her account login details confidential and acknowledge that he/she is responsible for any purchases made using his/her account;
  • the user has the capacity and rights to enter into these Terms of Use and to fulfil his/her obligations under these Terms of Use;
  • the user undertakes to comply with these Terms of Use; and
  • the user undertakes to comply with all applicable laws whenever using the Website.

Liability

Chorus Life accepts no liability for any damage arising from the Website being inaccessible and/or for any other damage attributable to causes beyond Chorus Life’s control and which could not reasonably have been foreseen by Chorus Life.

Subject to the foregoing, unless caused by conduct attributable to Chorus Life, Chorus Life shall not be liable for:

(a) any use of the Services by the user that is unauthorised under these Terms of Use;

(b) any malfunction of the Website or interruption to the Services due to circumstances beyond Chorus Life’s control which prevent it from fulfilling its obligations to the user, or which may be considered a ‘force majeure event’. This may be due to events such as: (i) lightning strikes, floods, adverse weather conditions, fires, explosions, terrorist acts, epidemics, pandemics, riots, wars, actions by a government or other public authorities, strikes or other industrial action; or (ii) other actions by third parties beyond Chorus Life’s control;

(c) any failure in functionality or failure to provide any part of the Website or the Services due to: (i) malfunctions or failures relating to the user’s equipment, devices, operating systems or internet connection (including malware, viruses or bugs originating from third parties or on any of the user’s devices); (ii) failure to use a browser that is up to date or compatible with the Website; (iii) failure by the user to update their device, operating system or third-party software necessary for the proper use of the Website; (iv) unforeseeable actions by third parties beyond Chorus Life’s control.

What happens if the user breaches these Terms of Use?

If Chorus Life reasonably suspects that the user is in breach of these Terms of Use, it may remove or restrict the user’s access to the Website and/or decide to temporarily suspend or permanently close the user’s account, or impose limits on or restrict the user’s access to the Website’s features if:

  • it reasonably and objectively believes that the user is seriously or repeatedly breaching these Terms of Use;
  • it has objective grounds to reasonably believe that the user is about to seriously breach these Terms of Use;
  • it is required to do so by law; or
  • it is necessary to address a serious technical or security issue.

Closure of the user’s account

The user may choose to terminate his/her contractual relationship with Chorus Life in relation to these Terms of Use and his/her access to the Services at any time by closing his/her account.

Governing law and dispute resolution

These Terms of Use are governed by Italian law.

In the event of a dispute, Chorus Life undertakes to resolve it amicably with the user.

For any dispute relating to these Terms of Use to which a consumer is a party, the court of the consumer’s place of domicile or habitual residence shall have jurisdiction.

Third-Party Rights

Unless expressly stated otherwise, these Terms of Use do not confer any rights on third parties. No other person shall be entitled to enforce any of the terms of these Terms of Use.

Assignment of the contract

These Terms of Use and all rights and authorisations granted herein may not be transferred or assigned by the user, but may be assigned by Chorus Life without restriction. In such a case, this shall not affect any of the user’s rights as a consumer.

Changes to these Terms of Use and the Services

Chorus Life may from time to time make changes to these Terms of Use and the Services. In such cases, it will take the user’s reasonable interests into account before doing so.

Chorus Life undertakes to notify the user, in a transparent manner and with reasonable notice, of any significant changes to these Terms of Use and the Services that will affect the user, and the date on which they will come into effect. The changes will apply to the relationship between Chorus Life and the user only after the notice period has expired. The ‘Last updated’ date at the top of these Terms of Use will also be updated.

In the event that urgent changes are necessary for reasons of security, safety, or legal or regulatory requirements, Chorus Life may not be able to provide the user with advance notice, but will inform the user where possible.

If the user does not accept the changes to the Terms of Use, he/she must stop using the Website and delete his/her account.

The reasons why Chorus Life may make changes to these Terms of Use and the Services are:

  • changes in circumstances beyond Chorus Life’s reasonable control;
  • changes in the law or regulations;
  • contractual changes arising from relationships with its suppliers, partners and licensors in general;
  • changes that Chorus Life makes to the Website in the course of the normal development of its Services;
  • adaptation to new technologies;
  • changes to its own organisation or that of group companies or other entities involved in the Chorus Life project;
  • events of force majeure affecting the Services;
  • changes in the number of people using the Website or any relevant feature or functionality of the Website;
  • the addition of new services or the modification or removal of existing services; or
  • resolution of security issues.

Communications

Chorus Life may provide notices to the user in accordance with these Terms of Use by sending an email to the email address provided by the user in their account or by posting a notice on the Website.

Waiver

Even if Chorus Life or the user delays in enforcing any provision of these Terms of Use, either party may still enforce it at a later date. If either party delays in taking action against the other, this shall not prevent either party from taking action at a later date.

Severability

If a court with jurisdiction to rule on the matter determines that any provision of these Terms of Use is invalid, unlawful or unenforceable, that provision shall be severed from the Terms of Use without affecting the remainder of the Terms of Use, and the remaining provisions of the Terms of Use shall continue to be valid and enforceable, provided that the essential provisions of these Terms of Use remain in force.
